Notice of Meeting
A General Meeting will be held at 4.00pm on Tuesday the 11th of June at Infrastructure New Zealand offices, Level 16, Crombie Lockwood Tower, 191 Queen Street, Auckland.
Purpose of Meeting
The purpose of the meeting is to:
1. Seek members' approval of Infrastructure New Zealand accounts for the six months ended 31st December 2018.
2. Seek approval to defer the election of Board members to the next Annual General meeting to be held in May 2020.
At the Annual General Meeting held on November 21st, 2018, members approved a change of the financial year end from 30 June to 31 December. This General Meeting will approve Infrastructure New Zealand’s six-month accounts to 31 December 2018 as we transition to the new financial year.
As it will only have been six months since our last Annual General Meeting, we are also seeking members approval to defer the election of board members until the next AGM, to be held in May 2020 in accordance with the revised Constitution. This is preferred because if we were to hold an AGM in June this year, all members of the Board, including those just elected in November last year, would have their term shortened by six months.
Secondly, since there were a large number of new Board members elected at the last AGM, extending the term of longer standing board members for six months will assist continuity of knowledge and experience on the Board as new members gain experience.
The Board recommends members approve these resolutions in the interest of good governance of Infrastructure New Zealand.
